Corporate and Business Law
Lester, Loving and Davies’ business clients range from small sole proprietorships to Fortune 500 corporations.
LL&D assists clients in choosing the form of business organization that will best fit their needs. We are skilled in drafting the necessary documents to start or maintain your business, including: articles of incorporation and by-laws, articles of organization and operating agreements for limited liability companies, and partnership agreements. LL&D will make certain all appropriate documents are filed with the Oklahoma Secretary of State, the Internal Revenue Service, and the Oklahoma Tax Commission.
Moreover, LL&D assists businesses in drafting employment agreements, termination agreements, leases, and other business contracts, as well as employee manuals.
Whether our client is a small business or a large corporation, prevention is an employer’s most effective--and least expensive--defense against employee claims. While employers are required to comply with a myriad of complex and ever-changing state and federal employment laws, in our experience many employers do not realize – until it’s too late – that they are even subject to these laws. LL&D advises its business clients to “get a check-up” at least once a year, to ensure compliance and take the preventative measures necessary to protect their businesses.
